How to Set Up an LLC in Utah: A Step-by-Step Guide

Starting a business in Utah? Forming a Limited Liability Company (LLC) is one of the best ways to protect your personal assets while enjoying the flexibility of a small business. Whether you’re an entrepreneur, freelancer, or small business owner, setting up an LLC in Utah is a straightforward process. Here’s everything you need to know.

Step 1: Choose a Name for Your LLC

Your LLC’s name must be unique and distinguishable from other businesses registered in Utah. To check name availability, visit the Utah Business Name Search on the Utah Division of Corporations website.
Naming Rules:

1) Must include “Limited Liability Company” or abbreviations like LLC or L.L.C.
2) Cannot use restricted words like "bank," "insurance," or "university" unless authorized
3) Must be unique from existing Utah businesses

Tip: You can reserve a business name for up to 120 days for a small fee if you're not ready to register yet.

Step 2: Appoint a Registered Agent

Utah law requires every LLC to have a registered agent—a person or company that receives legal documents on behalf of your business.

The agent must:
✔ Be a Utah resident or a business authorized to operate in Utah
✔ Have a physical address in Utah (P.O. boxes are not allowed)

Need a reliable registered agent? Universal Solutions LLC can help!

Step 3: File the Articles of Organization

To legally establish your LLC, you must file the Articles of Organization with the Utah Division of Corporations and Commercial Code.

1) Filing Fee: $54
2) Filing Options: Online, by mail, or in person
3) Processing Time: Usually 2-3 business days online, longer by mail

Step 4: Create an Operating Agreement (Optional but Recommended)

An Operating Agreement is a legal document outlining how your LLC will be managed. While Utah doesn’t legally require one, it’s highly recommended to:
✔ Define ownership percentages
✔ Set management rules and member responsibilities
✔ Outline profit distribution and dispute resolution

Even if you’re the only owner, an Operating Agreement adds legal protection!

Step 5: Obtain an EIN (Employer Identification Number)

An EIN (Tax ID Number) from the IRS is required if you plan to:
✔ Hire employees
✔ Open a business bank account
✔ File taxes as a corporation or partnership
You can apply for an EIN for free on the IRS website.

Step 6: Register for Utah State Taxes & Business Licenses

Depending on your business type, you may need to:
✔ Register for a Utah Sales Tax Permit (if selling taxable goods or services)
✔ Obtain local business licenses (requirements vary by city/county)
✔ Register with the Utah Department of Workforce Services (if hiring employees)

Universal Solutions LLC can assist with business registration and licensing!

Step 7: Open a Business Bank Account

To keep your personal and business finances separate, open a business bank account under your LLC’s name. This helps with:
✔ Liability protection
✔ Easier tax filing
✔ Business credibility

Step 8: Stay Compliant & Renew Your LLC Annually

Utah requires LLCs to file an Annual Renewal Report to keep their business active.
1) Fee: $18
2) Due Date: Every year by the anniversary of your LLC’s registration
